Pursuant to 12 C.F.R. § 1024.15, in connection with the sale, purchase and/or financing of the Property, you may need or want to obtain certain settlement services and/or other real estate related services. This notice is provided to disclose the business relationship between Praxis Title & Escrow LLC and Praxis Title & Escrow of Texas LLC (together, "Praxis") and the law firm of DarrowEverett LLP ("DarrowEverett" or the “Firm”).

Praxis Title & Escrow LLC and Praxis Title & Escrow of Texas LLC are each wholly owned by Praxis Title Holdings LLC, which in turn is jointly owned by Eric Wasserman and Zachary Darrow. Zachary Darrow holds a controlling interest in DarrowEverett, and Eric Wasserman is designated as "Of Counsel" within the Firm. Because of this common ownership and affiliation, Praxis and DarrowEverett are affiliated businesses, and the owners and employees may receive a financial or other benefit as a result of referrals between them.

In the ordinary course of business, DarrowEverett attorneys may refer clients to Praxis for title insurance and settlement services in connection with the sale, purchase, or refinance of property. In Florida, certain DarrowEverett attorneys are authorized signatories for policies issued through Praxis. Praxis may also refer DarrowEverett for legal document preparation in connection with a transaction. In cases where DarrowEverett attorneys are working on other legal aspects of a transaction, any legal fees charged by DarrowEverett are separate from, and in addition to, the title insurance premiums and settlement charges paid to Praxis.

THERE ARE FREQUENTLY OTHER TITLE INSURANCE AND SETTLEMENT SERVICE PROVIDERS AVAILABLE WITH SIMILAR SERVICES AND MORE FAVORABLE RATES. YOU ARE NOT REQUIRED TO USE PRAXIS OR DARROWEVERETT AS A CONDITION OF ANY TRANSACTION, AND YOU ARE FREE TO SHOP AROUND TO DETERMINE THAT YOU ARE RECEIVING THE BEST SERVICES AND THE BEST RATE.
